GENDA Inc. (Headquarters: Minato-ku, Tokyo, Representative Director and Chairman of the Board: Nao Kataoka, Representative Director and President: Mai Shin, hereinafter “GENDA”) announced that its group company GENDA GiGO Entertainment Inc.  (Headquarters: Minato-ku, Tokyo, Representative Director and President: Satoshi Ueno, hereinafter “GENDA GiGO Entertainment”) has reached an agreement with Sasaki Kogyo Inc. (Headquarters: Toshima-ku, Tokyo, Representative Director and President: Shinichi Sasaki, hereinafter “Sasaki Kogyo”) to support Sugai Dinos Inc. (Headquarters: Sapporo-shi, Hokkaido, Representative Director and President: Naohisa Miura, hereinafter “Sugai Dinos”) which is under civil rehabilitation proceedings. GENDA GiGO Entertainment and Sugai Dinos have executed a business transfer agreement effective today.

Background and Objectives of the Business Transfer Agreement 

Sugai Dinos was established in 2018 after transferring the entertainment business operated by Sugai Kogyo Inc. in Hokkaido since 1954 (later renamed as SD Entertainment Inc.). It currently operates 26 facilities in total, including amusement arcades, movie theaters, and bowling centers, which are the fifth, fourth, and second-largest businesses in Hokkaido respectively. The company filed for application of the Civil Rehabilitation Law on May 30, 2022 and had been considering a business transfer to a sponsor company.

GENDA, as a sponsor company of Sugai Dinos, has been considering acquiring its business through GENDA GiGO Entertainment, which can potentially expand the entertainment industry in Hokkaido and enhance the local economy by leveraging the knowledge and expertise of both companies. Finally, with strong confidence to expand all business segments, GENDA reached an agreement with Sasaki Kogyo, the operator of 14 movie theater chains nationwide under the Cinema Sunshine brand, including Cinema Sunshine Ikebukuro, to co-operate Sugai Cinema. 

Scheme of Business Transfer 

First, GENDA GiGO Entertainment will establish a wholly owned subsidiary called Sugai Cinema (tentative name, hereinafter “Sugai Cinema”). Then on September 30, 2022, GENDA GiGO Entertainment will acquire the amusement arcade business and bowling center business, and Sugai Cinema will acquire the movie theater chain business from Sugai Dinos, respectively. On the same day, Sasaki Kogyo will acquire 85.1% of the shares of Sugai Cinema from GENDA GiGO Entertainment.
