GENDA Inc. (Headquarters: Minato-ku, Tokyo; CEO: Manabu Shintani; hereinafter “ActPro”), which operates a foreign currency exchange machine business etc., through partial acquisition of outstanding shares and simplified share exchange. ActPro plans to split businesses other than the foreign currency exchange machine business in Japan through a company split prior to this share acquisition and the share exchange.

The number of inbound tourists (foreign visitors to Japan) reached a record high of approximately 33.38 million in the period from January to November 2024 (1). Traveling to Japan has become a form of entertainment for people around the world, and the Japanese government has set a target of 60 million foreign visitors and 15 trillion yen in spending by 2030 to promote Japan as a tourism-oriented country (2).
As a pioneer in foreign currency exchange machines, ActPro has installed a foreign currency exchange machine, “SMART EXCHANGE,” which is a platform that supports domestic tourism of inbound tourists, int more than 650 locations. “SMART EXCHANGE” is available in 10 languages (some machines in 4 languages) and compatible with 12 foreign currencies around the world. This machine succeeded in automating currency exchange and saving space for currency exchange and realized convenience for inbound tourists, and now responds to their immediate demand for cash at stations, airports, hotels and stores etc. Besides, such foreign currency exchange machines serve to attract customers to the facilities where they are installed, and at the same time promote purchasing activities in the surrounding area.
Among the amusement arcades run by GENDA, these machines have been installed in 14 arcades nationwide, including “GiGO Osaka Dotonbori Main Store,””GiGO Akihabara 3,” “GiGO Shibuya Miyamasuzaka” and “GiGO Fukuoka Tenjin,” which receive a lot of inbound customers (as of November 30, 2024).
In addition, we can expect an increase in earnings for both ActPro and the Company by sharing know-how etc. each other because the business model of foreign currency exchange machine business is similar to that of mini-location business run by the Company.
